1. Agreement to These Terms

These Terms of Service govern your access to and use of the website operated by KAMILAH MIRZA, LLC and any survey services you commission from the practice. By visiting this website, submitting an enquiry or engaging us for work, you agree to be bound by these terms. If you do not accept these terms, please do not use the website and do not commission services from us.

These terms apply together with any written engagement letter or statement of work that we issue for a specific project. Where a signed engagement letter conflicts with these terms, the engagement letter takes precedence for that project. Nothing in these terms removes rights that you hold under mandatory consumer protection law or any other law that cannot be varied by agreement.

We may revise these terms from time to time. The version in force is the one published on this page on the date you use the website. We will update the effective date whenever a revision is made so that you can see when the terms last changed.

2. Definitions

In these terms, the following words have the meanings given below. We use these definitions so that both parties share a clear understanding of the language throughout the document.

  • Company means KAMILAH MIRZA, LLC and its personnel acting on its behalf.
  • Client means the person or organisation that commissions survey work from the Company.
  • Website means the pages published at kamilahmirza.hair.
  • Deliverables means the drawings, maps, registers and written material the Company issues to a Client.
  • Engagement means a specific piece of survey work agreed between the Company and a Client.
  • Site Content means all text, images, layout and code published on the Website.

A reference to writing includes email. A reference to a party includes that party successors and permitted assigns. Headings are provided for convenience and do not affect interpretation.

3. Eligibility to Use the Site

This website and our services are intended for businesses and adult professionals. By using the website, you confirm that you are at least the age of majority in your jurisdiction and that you have the authority to act on behalf of any organisation you represent.

If you access the website on behalf of a company or other legal entity, you represent that you are authorised to bind that entity to these terms. If your authority is later questioned, the engagement may be suspended until the matter is resolved.

We do not knowingly permit use of the website by anyone who has previously been restricted from using it, and we reserve the right to refuse service where we have a good faith reason to do so.

4. Description of Services

KAMILAH MIRZA, LLC provides systems mapping consultancy. Our six principal services are process cartography studies, network topology surveys, integration roadmapping, data flow charting, system inventory mapping and migration route planning.

Our work is document based. We do not sell, resell or supply hardware, and we do not provide software licences. We do not act as a managed service provider and we do not take operational responsibility for client systems. Our role is to observe, measure and draw so that a client can make informed decisions.

The website describes our services for general information. Nothing on the website constitutes a binding offer to perform work. A binding engagement arises only when the Company issues a written engagement letter or statement of work and the Client accepts it.

5. Commissioning an Engagement

An engagement begins with a scoping conversation during which the Client describes the estate to be surveyed and the questions to be answered. The Company then prepares a written scope that sets out the boundary of the work, the surveys included, the deliverables, the timetable and the fee.

Work does not commence until the Client accepts the scope in writing. Either party may decline to proceed at the scoping stage at no cost. Where the Client requests changes to the scope after acceptance, the Company will assess the effect on fee and timetable and will not proceed with the change until the Client accepts any adjustment.

The Client acknowledges that the accuracy of the deliverables depends on access to accurate information during the survey. Where access is limited or information is withheld, the Company will note the limitation in the deliverables and the Client accepts that the drawing reflects only what could be observed.

6. Fees and Payment

Fees are set out in the engagement letter for each project. Fees may be fixed for a defined scope or estimated on a time and materials basis where the scope cannot be fully determined in advance. Where an estimate is given, the Company will notify the Client promptly if the actual effort is likely to exceed the estimate materially.

Unless the engagement letter says otherwise, invoices are payable within thirty days of issue. The Company may require a deposit before beginning work on a larger project. Expenses reasonably incurred in the course of a survey, such as travel to a distant site, are chargeable at cost with prior agreement.

If an invoice remains unpaid beyond its due date, the Company may suspend work and may charge interest at a reasonable rate on the outstanding amount. The Company will give notice before suspending work so that the Client has an opportunity to resolve the matter.

7. Deliverables and Ownership

Deliverables are issued as a dated document set. On payment in full, the Client receives the right to use the deliverables for its internal business purposes, including sharing them with employees, advisers, auditors and successors.

The Company retains the underlying methods, legends, templates and drawing conventions used to produce the deliverables. These remain the intellectual property of the Company and may be used in other engagements. The Client may not resell the deliverables or present them as its own work product.

The Client may request revisions to correct factual errors in a deliverable. The Company will correct genuine errors at no charge for a reasonable period after issue. Requests for broader redesign of a deliverable constitute new work and are quoted separately.

8. Client Responsibilities

The Client agrees to provide reasonable access to people, systems and documents during a survey, to answer questions truthfully and to nominate a point of contact who can arrange access and approvals.

The Client is responsible for ensuring that it has the right to grant the access it provides. Where a survey touches systems operated by a third party, the Client is responsible for obtaining any consent that third party requires.

The Client is responsible for deciding what actions to take following a survey. The Company provides drawings and recommendations; the Client retains responsibility for its own operations, its own security posture and its own compliance obligations.

9. Acceptable Use

You agree to use this website lawfully and respectfully. You must not attempt to gain unauthorised access to any part of the website or its underlying systems, introduce malicious code, or interfere with the availability of the site for others.

  • Do not copy, mirror or republish substantial portions of the site without written permission.
  • Do not use automated tools to scrape the site beyond ordinary search engine indexing.
  • Do not use the enquiry form to send spam, unlawful content or material that infringes the rights of others.
  • Do not misrepresent your identity or your authority to act for another person or organisation.

The Company reserves the right to block access where it reasonably believes that these rules have been broken. Where the breach is serious or persistent, the Company may report the matter to the relevant authorities.

10. Confidentiality

Each party will keep confidential the non public information of the other that it learns during an engagement. This obligation is central to our practice, because a survey gives us sight of systems and processes that a client would not normally disclose outside the business.

The Company will not disclose client information to any third party except as needed to deliver the work or as required by law. Where a service provider must handle client material, the provider is bound to protect it on terms consistent with this section.

Confidentiality obligations do not apply to information that is already public, that was lawfully known before the engagement, that is independently developed without reference to the disclosed material, or that a party is legally compelled to disclose. Where disclosure is compelled, the party will give prompt notice to the other where it is lawfully able to do so.

11. Intellectual Property

All Site Content, including text, layout, styling and code, is the property of KAMILAH MIRZA, LLC and is protected by applicable intellectual property law. You may read, print and share links to the site for your own reference, but you may not reproduce it for commercial purposes without permission.

The names, logos and identifying marks of the Company may not be used in a way that suggests endorsement or partnership without written consent. You may refer to the Company by name when accurately describing work we have performed for you.

If you believe that any material on this website infringes a right you hold, please contact the Company with the details and we will investigate promptly and respond in good faith.

12. Third Party Materials

The website may refer to third party products, platforms or services for the sake of clarity. Such references are descriptive and do not imply any affiliation or endorsement of the Company by those third parties, nor of those third parties by the Company.

All trademarks and product names mentioned belong to their respective owners. Where the Company names a client platform in a deliverable, it does so only to describe the estate being mapped.

Links to external websites are provided for convenience. The Company does not control those sites and is not responsible for their content, availability or practices.

13. Warranties and Disclaimers

The Company will perform its services with the reasonable skill and care expected of a competent consultancy. This is the principal assurance we give, and we stand behind it.

The website and its content are provided on an as available basis. To the fullest extent permitted by law, the Company disclaims all implied warranties that are not expressly stated in these terms, including implied warranties of merchantability and fitness for a particular purpose.

A drawing records the estate as observed at the date of survey. The Company does not warrant that a client estate will not change after the date of a survey, nor that subsequent changes will be detected unless a maintenance arrangement is in place.

14. Limitation of Liability

To the fullest extent permitted by law, the total liability of the Company arising out of or in connection with an engagement shall not exceed the total fees paid by the Client for the engagement giving rise to the claim.

The Company shall not be liable for indirect, incidental, special or consequential losses, including loss of profit, loss of business, loss of data or loss of goodwill, however arising and whether or not the possibility of such loss was known in advance.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited. Where a jurisdiction does not permit a particular limitation, that limitation applies only to the extent permitted and the remainder of these terms continues in full force.

15. Indemnity

You agree to indemnify and hold harmless the Company and its personnel against claims, losses and costs arising from your breach of these terms, your misuse of the website or your infringement of the rights of any third party.

The Company agrees to indemnify and hold harmless the Client against claims that a deliverable produced by the Company infringes a third party intellectual property right, provided the Client notifies the Company promptly and allows the Company to conduct the defence.

This indemnity does not apply where a claim arises from material supplied by the Client or from a use of a deliverable outside the scope described in the engagement letter.

16. Termination

Either party may terminate an engagement by giving written notice in accordance with the engagement letter. Where no notice period is specified, a reasonable period is required so that each party can wind the work down in an orderly way.

On termination, the Client remains liable for fees for work performed up to the date of termination and for any costs irrevocably committed before that date. The Company will deliver any completed deliverables for which payment has been made.

The Company may terminate an engagement immediately where the Client fails to pay a due invoice after notice, or where the Company reasonably believes that continuing the work would require it to act unlawfully or unethically.

17. Governing Law and Disputes

These terms are governed by the laws of the State of Utah, United States, without regard to conflict of laws principles. The parties agree to submit to the exclusive jurisdiction of the courts located in Utah for the resolution of any dispute that cannot be settled by discussion.

Before commencing formal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiation. Either party may initiate that process by sending written notice describing the dispute and the outcome sought.

Nothing in this section prevents either party from seeking urgent injunctive relief where such relief is necessary to protect its rights.

18. General Provisions

These terms, together with any applicable engagement letter, form the entire agreement between the parties on their subject matter and supersede all prior discussions on that subject.

If any provision of these terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in effect.

A failure by either party to enforce a provision on one occasion does not waive the right to enforce it on another occasion. Neither party may assign its rights under these terms without the written consent of the other, except in connection with a merger or sale of substantially all its assets.

19. Chart Delivery and Formats

Finished studies, surveys and roadmaps are delivered in the format agreed at kickoff, typically as printable sheets together with editable source files. KAMILAH MIRZA, LLC keeps a copy of every delivered chart in the project archive so that later revisions can build on the same base. Clients who need an additional format can request a conversion, and reasonable requests are handled without a fresh engagement fee.

Delivery dates are planning targets rather than promises, because drawing quality depends on what the survey uncovers. When a discovery changes the shape of the work, the consultant raises it with the client and agrees a revised plan before continuing, so the final chart reflects reality rather than an early assumption.

20. Reuse of Drawings

Charts, topology maps and flow diagrams produced under an engagement are licensed to the client for the internal operation of the mapped systems. Redrawing, reselling or publishing the drawings outside the client organization requires written permission, because the drawing style and legend system are part of the consultancy craft.

Where a client engages other contractors to build what a chart describes, the chart may be shared with those contractors for that purpose. The consultant remains available to answer questions about the drawing during construction, and such questions are treated as part of the original engagement rather than a new one.
